Effective Date: September 21, 2026 for any Account created on or after that date. For an Account existing on that date, this document takes effect thirty (30) days after itogai gives notice under the Customer Terms of Service. This document is new, so no prior version is displaced and none governs in its place. Last Modified: September 21, 2026 Document Version: BT-2026-09-21 v5.0
These Bridger Terms bind any person who, through the itogai Subscription Service, offers to make an introduction for a fee or requests one (a “Bridger” and a “Requester”). They are entered into between that person and Itogai LLC (“itogai”), and they apply in addition to the Customer Terms of Service and the Acceptable Use Policy.
A person becomes a Bridger, or a Requester, by accepting these Terms at the moment they first offer or request an introduction involving a fee. Using the Subscription Service without accepting these Terms does not make anyone a Bridger or a Requester, and no fee arrangement is possible without them.
1. What a Bridger does
A Requester who wants to reach someone may offer a fee to the Bridger who can reach them. The Bridger accepts, counters or declines. A Bridger may also originate the offer, in which case the exchange begins at the counter step.
A Bridger is paid for making a genuine connection they were willing to make.
2. What may be charged for
2.1 What the fee may be. A fee is agreed between the Requester and the Bridger for a specific introduction. It may be a fixed amount, an amount determined by a future event the two of them define, or nothing at all. The Requester and the Bridger set those terms between themselves. itogai does not set, recommend or influence them.
itogai takes no share of the fee itself. itogai’s only charge is the platform fee stated in the Service Schedule, which applies where the Bridger elects payment in cash and is zero where the Bridger elects payment in Sparks. No part of what the Bridger earns accrues to itogai beyond that stated platform fee, and itogai operates no commission of its own on what happens after two people meet.
2.1a Where the amount depends on a future event. Four things follow, and each is a term of these Terms:
- The two parties define the triggering event and the basis of calculation before the introduction is made, and that definition is recorded with the introduction.
- Nothing is charged at the moment of the introduction, because no amount is determined yet. Section 3.6 states when settlement happens.
- itogai does not verify the triggering event, and does not verify the amount. Section 8.3a states this as plainly as it can be stated, because it is the risk the Bridger takes.
- The prohibited contexts in Section 6 apply with full force. A fee that moves with an outcome is the arrangement those restrictions exist to address, and it is refused in those contexts rather than discouraged.
2.2 Per request, never a price list. A fee is agreed for a specific introduction between specific people. itogai does not publish, host or permit a rate card, a profile field showing what a person charges, a directory ranked by price, or any standing public offer to make introductions for money.
A fee agreed for one introduction is a decision about that introduction. A number on a profile is a different thing, and it is the thing itogai exists to be an alternative to.
2.3 A Bridger may always decline, for any reason or none, and declining carries no consequence of any kind within the Subscription Service.
3. The flow of funds
3.1 itogai does not hold or control funds at any point. itogai charges the Requester, and the Bridger is paid through itogai’s payment provider. The provider places and releases every authorization hold and effects every payout and recovery, and itogai’s role is limited to instructing it. That provider is the regulated party, and the Bridger holds a connected account with it, subject to the provider’s own terms and its identity verification requirements.
3.2 Two settlement paths. The Bridger chooses at the moment of accepting.
| Paid in | The Bridger receives | itogai retains |
|---|---|---|
| Sparks | One hundred percent (100%) of the agreed value, in Sparks | Nothing |
| Cash | The agreed value less the platform fee stated in the Service Schedule | The platform fee |
3.3 Why the two differ, stated openly. Value that stays inside the product costs the Bridger nothing. Value that leaves it carries the cost of moving it. Both figures are shown before the Bridger chooses.
3.4 Sparks received as compensation behave like any other Spark. They are a licence to consume functionality inside the Subscription Service. They are not redeemable for cash, not transferable and not assignable. A Bridger who wants money chooses the cash path.
3.5 Eligibility. To receive a fee, a Bridger must hold a payout account in good standing with itogai’s payment provider and satisfy that provider’s verification requirements. itogai cannot pay a Bridger whose payout account the provider has restricted.
3.6 When settlement happens. A fixed fee settles when the introduction completes, meaning when the person being introduced has agreed and the introduction has been delivered. A fee that depends on a future event settles when that event is reported and the Bridger accepts the report, and not before. Until then nothing is held, because no amount is determined.
itogai does not hold or control funds at either moment. The payment provider charges the Requester and settles to the Bridger’s connected account. Section 3.1 governs and nothing in this Section displaces it.
3.7 Both sides receive a record. For every introduction that carries a fee, on either settlement path, itogai issues the Requester a document stating what was charged, and issues the Bridger a document stating what was settled and what platform fee was applied. Both documents identify the introduction they belong to, and both are available in the Subscription Service and on request to billing@itogai.com.
Those records describe the flow of funds in Section 3.1. They do not change it. itogai does not become the payer or the payee of a fee by documenting it, does not hold or control funds at any point, and the payment provider remains the party that charges, holds and settles.
4. Disclosure
4.1 The decision is the Bridger’s. Whether to tell the person being introduced that a fee is involved is the Bridger’s own decision. That person has the relationship, and their name is on the introduction.
4.2 The composer offers disclosure already filled in. The introduction composer presents a disclosure line as the default. The Bridger may remove it.
4.3 itogai answers honestly. If the person being introduced asks itogai whether a fee was involved in that introduction, itogai answers honestly. There is no discretion in that answer: itogai does not decline to answer, does not answer evasively, and will never represent an introduction as unpaid when it was paid.
Write to privacy@itogai.com, from the address the introduction reached, or give itogai enough detail to identify the introduction. itogai confirms that you were a party to it before answering, and answers within five (5) business days. The confirmation step exists because the answer is personal data about two other people, and itogai will not disclose it to someone who was not part of the introduction.
4.4 A false denial is a breach. A Bridger who states or implies that an introduction was unpaid when it was paid is in breach of the Acceptable Use Policy and of these Terms, and the account is actionable under Section 10.
4.5 Your own obligations. Advertising, consumer protection and professional conduct rules in several jurisdictions require a material connection between a person making a recommendation and a person benefiting from it to be disclosed at the point of the recommendation. These Terms do not relieve a Bridger of any such obligation, and where one applies to the Bridger, the Bridger discloses.
5. Consent from the person being introduced
5.1 Double opt-in is the default. The person being introduced agrees before the introduction is made. A fee does not change this and does not create an exception to it.
5.2 The single opt-in path is available only where the Bridger holds an existing relationship with both people and attests to that at the moment of sending. The attestation is recorded and retained. It is not a setting, not a plan feature, and not something that can be switched on for all introductions.
5.3 Why the rule holds harder here. Where money changed hands, the person who did not consent is also the person who did not know that.
6. Prohibited contexts
A fee may not be charged for an introduction relating to any of the following:
- healthcare services, patient referrals, or anything reimbursed by a health programme;
- securities, fund placement, or an investment introduction that would require registration;
- lending, mortgage origination, or credit brokerage;
- insurance placement;
- legal services; or
- government procurement, a public tender, or any public official.
Free introductions remain available in every one of these contexts. The prohibition attaches to the fee, never to the introduction.
Beyond this list, referral compensation is restricted or unlawful in other sectors and in other jurisdictions, and the restriction usually binds the person paying and the person receiving rather than the platform between them. The Bridger and the Requester are each responsible for their own compliance. Structuring a fee, a payment or a series of introductions in order to avoid this Section is itself a breach.
7. Tax
A Bridger is responsible for their own taxes. itogai’s payment provider issues information reporting for its connected accounts where the applicable thresholds are met, and a Bridger is responsible for reporting and paying whatever their own jurisdiction requires, whether or not a form is issued.
itogai does not provide tax advice. Nothing in these Terms or in any itogai communication is tax advice, and a Bridger with a question should ask their own adviser.
8. Disputes, reversals and non-completion
8.1 A held fee releases when an introduction does not complete. The Requester is not charged for something that did not occur. An introduction does not complete where the Bridger declines, where the Bridger does not act within the period shown when the offer was made, where the person being introduced does not agree, or where the Subscription Service fails to deliver the introduction. In each case the held value returns to the Requester in full.
8.2 itogai does not adjudicate the quality of an introduction. Whether a connection turned out to be valuable is not a question itogai answers, and no fee turns on itogai’s opinion of an introduction. A Requester who is disappointed in an introduction that was in fact made has no claim against itogai on that basis.
8.3 What itogai does resolve. Whether an introduction was made, whether both sides consented, what fee terms the two parties agreed, whether a fee was charged, what was reported against those terms, and whether a payment settled. These are matters of record, and itogai answers them from the record.
8.3a What itogai does not resolve. Stated plainly, because it is the risk a Bridger takes when the fee is not fixed. Where a fee depends on a future event, itogai does not verify that the event occurred, does not verify any amount reported, and does not collect on the Bridger’s behalf where the Requester does not report at all. itogai holds the record of what was agreed and what was said about it, and makes that record available to both of them. It does not decide between them.
A Bridger who wants certainty chooses a fixed fee, which settles on completion of the introduction and depends on nobody’s later report.
8.4 Payment reversals. Where a payment to a Bridger is reversed by the payment provider or by the paying instrument’s issuer, itogai may recover the reversed amount from the Bridger’s balance or future payouts. Where the amount was paid in Sparks, itogai may debit the equivalent Sparks, and the balance is never taken below zero.
8.5 Fraud. Where itogai has reasonable grounds to believe a fee arrangement is fraudulent, collusive, or structured to move money rather than to make an introduction, itogai may hold the payment pending investigation and may reverse it.
9. What itogai does and does not do
itogai does present the exchange, charge the Requester, route the payment to the provider, record consent and attestations, prefill the disclosure line, and answer honestly when asked whether a fee was involved.
itogai does not hold or control funds, set a price, recommend a price, rank Bridgers by price, guarantee that any introduction will be made, guarantee any outcome of one, employ a Bridger, or act as a Bridger’s agent. The Bridger is an independent person acting on their own behalf. Nothing in these Terms creates a partnership, joint venture, agency, employment or fiduciary relationship.
10. Suspension and termination
10.1 By the Bridger. A Bridger may stop offering introductions for a fee at any time, and may terminate these Terms by ceasing to do so and telling itogai. Terminating these Terms does not terminate the Bridger’s Customer Terms of Service or their access to the Subscription Service.
10.2 By itogai. itogai may suspend or terminate a Bridger’s ability to receive a fee, with notice where the circumstances allow it and without notice where they do not, for a breach of these Terms or of the Acceptable Use Policy, for a prohibited context under Section 6, for a false denial under Section 4.4, or where the payment provider restricts the Bridger’s payout account.
10.3 What survives. Sections 4.3, 7, 8, 9, 11 and 12 survive termination, together with any payment obligation outstanding in either direction.
11. Liability
The disclaimers, exclusions and the aggregate liability cap in the Customer Terms of Service apply to these Terms without modification. A Bridger’s fee is not a fee paid to itogai and does not enlarge that cap.
12. Changes to these Terms
A change reducing a right a Bridger holds, changing the platform fee, or adding a prohibited context, takes effect thirty (30) days after notice by email and by publication. A clarification or correction is published immediately with the Document Version incremented.
The platform fee percentage lives in the Service Schedule. Changing it is a material change and carries the same thirty (30) days’ notice.

Changelog
New in this release. This document did not exist before September 21, 2026. Nothing in the prior set governed an introduction involving a fee.
Amended September 21, 2026, before first publication. Section 2.1 now permits a fee that depends on a future event the two parties define, where the first draft permitted only a fixed fee for the introduction itself. The prohibition it replaced was on itogai taking a commission, and that prohibition survives in stronger form: itogai takes no share of a Bridger’s fee beyond the platform fee in the Service Schedule. Section 2.1a, Section 3.6 and Section 8.3a are new and state, in order, what a variable fee requires, when it settles, and what itogai does not verify. The prohibited contexts in Section 6 are unchanged and now carry more weight, because a fee that moves with an outcome is the arrangement those restrictions exist to address. Section 3.7 is new and records that each side receives a document for every fee, on both settlement paths, without changing who charges, holds or settles.
